The terms of use.
What you agree to when you use this website or engage The Helm HQ.
1. Acceptance of terms
By accessing or using thehelmhq.com (the "website") or engaging The Helm HQ for services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the website or our services.
These Terms are a contract between you and The Helm HQ, an administrative consulting practice operated by Elizabeth Belchick ("we," "us," "our"). "You" refers to the individual or entity accessing the website or engaging our services.
2. About the services
The Helm HQ provides administrative consulting, automation engineering, and AI-assisted operations services for owner-led businesses. The website describes our practice and lets prospective clients book introductory calls. Information on the website is intended for general informational purposes only and does not constitute professional advice for any particular situation.
3. Client engagements
Paid engagements are governed by a separate written agreement (a statement of work, services agreement, retainer agreement, or similar). That separate agreement controls scope, deliverables, fees, payment terms, confidentiality, intellectual property assignment, and termination of the engagement. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement controls.
Conversations, proposals, and quotes exchanged before a written agreement is signed are not binding offers and do not create an attorney-client, fiduciary, or service relationship.
4. Permitted use of the website
You may view, read, and share the contents of this website for personal and lawful business purposes. You may not:
- Use the website to violate any law, regulation, or third-party right.
- Attempt to gain unauthorized access to any part of the website or its underlying systems.
- Interfere with or disrupt the website, including by introducing malware or excessive automated traffic.
- Scrape or harvest information from the website for unauthorized commercial purposes.
- Misrepresent yourself, impersonate another person, or send fraudulent inquiries.
5. Intellectual property
The website and its original content, including the name "The Helm HQ," our logo, our copy, our case studies, our process descriptions, and our visual design, are owned by The Helm HQ and are protected by U.S. and international copyright, trademark, and other intellectual-property laws.
You may not copy, reproduce, republish, distribute, or create derivative works from the website's content except as expressly permitted by these Terms or by separate written permission from us.
Case studies on the website describe real work performed for real clients. Where appropriate, identifying details have been generalized to protect client confidentiality. The metrics, outcomes, and engagement structures described are illustrative of past results and are not promises of future results for any particular client.
6. Content you send us
When you contact us through email, the booking form, or any other channel, you represent that the information you send is accurate and that you have the right to share it with us. If you send us suggestions, feedback, or ideas, we may use them for any purpose without compensation or attribution, unless a separate written agreement provides otherwise.
7. Third-party links and services
The website links to third-party services we use, including Calendly (for booking), Google Workspace (for email), and LinkedIn (our company profile). We do not control these services and are not responsible for their content, policies, or practices. Your use of those services is governed by their own terms and privacy policies.
8. Disclaimers
THE WEBSITE AND ITS CONTENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE HELM HQ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the website will be uninterrupted, error-free, or free of viruses or harmful components. We do not warrant the accuracy or completeness of any information on the website. Decisions about hiring administrative consultants, automation engineers, or any other professional should be made based on your specific situation and a written agreement, not based on website content alone.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE HELM HQ, ITS OWNERS, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (FOR EXAMPLE, LIABILITY FOR FRAUD OR INTENTIONAL MISCONDUCT).
Liability arising from a signed engagement agreement is governed by that agreement, not by this section.
10. Indemnification
You agree to defend, indemnify, and hold harmless The Helm HQ from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your misuse of the website, your violation of these Terms, or your violation of any law or third-party right.
11. Termination
We may suspend or terminate your access to the website at any time, for any reason or no reason, without notice. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
12. Governing law and disputes
These Terms are governed by the laws of the United States and the state in which The Helm HQ is principally located, without regard to its conflicts-of-law principles. The exclusive jurisdiction and venue for any dispute arising from these Terms or the website is in the state and federal courts located in that state, and you consent to the personal jurisdiction of those courts.
Before filing any formal claim, you agree to first contact us at welcome@thehelmhq.com and attempt to resolve the dispute informally for at least 30 days.
13. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top of this page. Your continued use of the website after a change becomes effective constitutes acceptance of the revised Terms. If you do not agree with the changes, your sole remedy is to stop using the website.
